SACL GIVES NOTICE OF ANNUAL GENERAL MEETING

Antonio Lucas announces the Annual General Meeting of SACL.After recently announcing that SACL was unable to pay dividends to its shareholders, Le Nouveau Seychelles Weekly can exclusively reveal that SACL will hold its first Annual General Meeting at the International Conference Centre, Maison Du Peuple, on Wednesday 10th October 2007 at 9.30am for the following purposes:

1. To receive the Chairman’s Report.
2. To receive and, if thought fit, adopt the Director’s and Auditor’s Reports together with the Financial Statements for the year ended 31st December 2006.
3. To declare a final divident.
4. To approve the remuneration of the directors.
5. To re-appoint Ernst & Young as auditors of the company and that the directors be authorized to fix the remuneration of the auditors.
6. To consider, if thought fit, to pass the following ordinary resolutions.
(a) That Mr. M. Felix who retires under section 163(4) of the Companies Act 1972, be re-elected  as a Director of the Company
(b) That Mr. A.A. Lucas who retires under section 163(4) of the Companies Act 1972, be re-elected as a Director of the Company
(c) That Mr. W. Confait who retires under section 163(4) of the Companies Act 1972, be re-elected as a Director of the Company
(d) That Mr. G. Ferley who retires under section 163(4) of the Companies Act 1972, be re-elected  as a Director of the company
(e) That Mr. G. Morel who retires under section 136(4) of the Companies Act 1972, be re-elected as a Director of the Company
(f) That Mrs. L. Nair who retires under section 163(4) of the Companies Act 1972, be re-elected as a Director of the Company
(g) That Mr. J. Raguin who retires under section 163(4) of the Companies Act 1972, re-elected as a Director of the Company
(h) That Mr. L. Rivalland who retires under section 163(4) of the Companies Act 1972, be re-elected as a Director of the Company
(i) That Mr. P. Rousset who retires under section 163(4) of the Companies Act 1972, be re-elected as a Director of the Company
(j) That Mr. P. Stravens who retires under section 163(4) of the Companies Act 1972, be re-elected as a Director of the Company.

A member can also appoint a proxy, who need not also be a member, to attend and vote in his or her stead. However, all appointments of proxies must be delivered to the Company not later than forty-eight hours before the time at which the meeting will commence. However, many have complained about the time and day of the meeting as the bulk of its shareholders will be at work at the time and will not be able to attend. Perhaps President James Michel and private businesses will give all shareholders the morning off to attend this very important meeting.
